Acquisition Replay — Episode 03
Broadcom / VMware
The Integration Path Was the Problem
The market saw Broadcom executing a proven playbook — acquire, rationalize, extract. VMware ran the backbone of enterprise virtualization across 300,000 customer deployments.
Acquisition Recon saw a high-propagation enterprise about to receive simultaneous changes across every product line. A Propagation Score of 12 means any simultaneous change cascades into twelve or more dependent systems. Broadcom changed pricing, licensing, and support structure all at once.
$3.28 billion in reconstruction cost was embedded in knowledge concentration — institutional knowledge held by engineers who departed within 90 days of close. The deal had merit. The integration approach did not.
Deal Decision Score — 52
Proceed with conditions
Sequential change management. Knowledge retention contracts. Propagation mapping before product rationalization. None of these conditions were implemented. The cascade arrived within 60 days.
A score with conditions is not a green light. It is a conditional recommendation with named requirements — requirements that were not met.
